• Fees for Services are due as specified on your invoice or in your service agreement.

• Late payments may result in suspension or termination of Services.

• All fees are non-refundable unless otherwise stated in writing.

4. Intellectual Property

• All content, designs, graphics, and code created by Peach State Social remain our intellectual property until full payment is received.

• Upon full payment, you are granted a non-exclusive, perpetual license to use the deliverables for your business purposes.

• You may not resell, sublicense, or redistribute our work without written consent.

5. Client Responsibilities

• You agree to provide accurate information, timely feedback, and necessary materials.

• You are responsible for the content you supply and for complying with applicable laws.

6. Acceptable Use

• You may not use our Services for any unlawful, harmful, or abusive activities.

• We reserve the right to suspend or terminate Services for violations of these Terms.

• Both parties agree to keep confidential any non-public information received during the course of the engagement.

• Our total liability is limited to the amount you have paid us for Services in the twelve (12) months preceding the claim.

• Either party may terminate Services with written notice. Upon termination, outstanding fees become immediately due.

• These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles.

14. Dispute Resolution

• Any disputes arising from these Terms or our Services will be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Georgia.
